entrepreneurial clients from inception through the lifecycle of a business
enterprise, providing corporate advice to companies on multiple topics. Steve forms all types of entities and advises
on the structure, differences and advantages of each type of entity. Steve guides his clients through the
intricacies of the federal and state securities laws, helping his clients raise
funds on a private and public basis. Steve also represents his clients in the acquisition of assets or other
entities, preparing and negotiating asset and stock purchase agreements for
multiple types of companies and industries, representing buyers and sellers,
and assists in designing and implementing due diligence examinations of
prospective buyers and sellers. If
clients want to exit their business enterprises, Steve counsels his clients
through available strategies to maximize his clients’ return on investment.
Many of Steve’s clients have been in the oil and gas business and Steve has performed all types of legal work in the oil and gas business including preparing title opinions and assisting in the acquisition and disposition of oil and gas assets. Steve has also represented residential mortgage companies, handling everything from obtaining licenses from federal and state agencies to negotiating contractual arrangements with Ginnie Mae issuers, warehouse banks and investors purchasing originated loans. Finally, Steve has owned and actively participated in the management of fee attorney title offices conducting residential and commercial real estate closings.
Steve grew up in the Dallas area, graduating from Lewisville High School. Steve obtained his BA degree in Economics from Oberlin College. While at Oberlin, Steve played football and rugby, becoming the Captain of the football team and President of the rugby club. Steve returned to his roots after college, earning his JD degree from SMU. Upon completion of law school, Steve joined a boutique firm in Dallas specializing in representation of oil and gas companies. Steve later moved to Tulsa where he worked in the corporate/securities law section of a large Tulsa firm. Steve returned to Dallas and continued representing primarily oil and gas companies in all aspects of their businesses, especially his clients’ fund raising activities, insuring compliance with federal and state securities laws. Steve also started a fee attorney title office specializing in closing residential and commercial real estate transactions.
In 2006, after being in the private practice of law in Dallas for more than 24 years, Steve became the General Counsel and Chief Operating Officer for an oil and gas company active in the exploration and production of oil and gas. Steve handled all legal aspects of the oil and gas company including acquisition and divestment of oil and gas properties, contractual arrangements with industry partners, employment agreements and the securities law aspects of private placements offered by the company.
Steve was presented with the opportunity to help start and own a residential mortgage company so Steve helped establish and operate a residential mortgage company that eventually grew to more than 100 employees. Steve handled all legal affairs presented to the mortgage company, representing the company in its dealings with federal and state regulators, managing all employee issues and generally assisting in the operation of a residential mortgage company.
Steve has now returned to his first love, representing business clients in their corporate matters. Steve’s experience in establishing companies and managing all aspects of different types of businesses gives Steve a unique perspective on the business world and makes him a valuable asset for entrepreneurs.
Steve is a member of the Real Estate, Probate & Trust Law, Business Law, and Oil, Gas & Energy Resources Sections of the State Bar of Texas, the Real Property and Securities Sections of the Dallas Bar Association and the Real Property, Trust & Estate Law and Business Law Sections of the American Bar Association.
In his free time, Steve is an avid off-road bicycle rider and enjoys riding bikes in state and national parks and camping in an Airstream trailer. Steve has helped the admissions department at his alma mater, Oberlin College, by attending college nights at local high schools and interviewing prospective students on behalf of Oberlin. Steve is also a member of the Board of Directors of the Heisman Club, the athletic booster club for Oberlin College.
