Work Experience:
Jim Stanford is a member of SettlePou's Business Counsel Services Section focusing primarily on representing corporate and healthcare clients.
Mr. Stanford practices primarily in the areas of intellectual property, technology, and corporate law, with experience in private securities, healthcare, construction, entertainment, and employment law. Mr. Stanford’s background includes extensive experience in drafting and negotiating corporate, commercial, and healthcare related arrangements and transactions.
Mr. Stanford's intellectual property and technology law experience includes drafting and negotiating software license agreements, service and support agreements, trademark licensing and prosecution, website development and hosting agreements, intellectual property development and purchase agreements, website use terms and privacy policies, as well as advising clients on protecting their intellectual property assets.
Mr. Stanford's corporate representation includes advising clients on general corporate matters, commercial transactions, and mergers and acquisitions, as well as drafting and negotiating corporate governance documents and a broad range of other agreements such as asset and stock purchase agreements, stock option agreements, shareholder agreements, employment agreements, service agreements, and confidentiality agreements.
Mr. Stanford's securities background includes advising clients on private securities offerings, which includes preparing or reviewing private placement memorandums, disclosure statements, subscription agreements, and other related documents in accordance with state and federal regulations.
Mr. Stanford has worked extensively with physicians, dentists and other healthcare providers on various matters including drafting and negotiating employment agreements, management services agreements, licensing and services arrangements, medical intellectual property development, licensing, and consulting agreements, as well as practice formation, mergers, and acquisitions.
Mr. Stanford's entertainment law background includes advising clients on protecting their works and drafting and negotiating digital music licensing agreements, which has included negotiating license agreements with all of the major record labels and most of the independent record labels, master use and artwork licenses, personal services agreements, and other agreements with artists and other performers.
Mr. Stanford's construction law experience includes drafting, negotiating, and advising clients on contractor and subcontractor agreements, design-build agreements, and mechanics liens.
Mr. Stanford also regularly advises clients on the formation and development of start-up companies and practices (including corporations, limited liability companies, partnerships, limited partnerships, and professional entities for medical and dental practices).
